Please read these Terms carefully before purchasing a Cogniz subscription. By completing a purchase, you confirm that you are at least 18 years old, have the authority to bind yourself or your organisation to these Terms, and agree to be bound by them. If you do not agree, do not proceed with a purchase.

1. Parties and definitions

In these Terms of Sale:

  • "Cogniz", "we", "us", or "our" refers to Cogniz, an AI automation business operating in South Africa.
  • "Customer", "you", or "your" refers to the individual or legal entity that purchases a subscription or service.
  • "Subscription" refers to a recurring monthly or annual licence to access Cogniz's AI automation products or workflows.
  • "Services" refers to any subscription product, AI automation workflow, consultancy, or custom development offering provided by Cogniz.
  • "Agreement" refers to these Terms of Sale together with any applicable order confirmation, schedule of services, or separately executed contract.
  • "CPA" refers to the Consumer Protection Act 68 of 2008.
  • "ECT Act" refers to the Electronic Communications and Transactions Act 25 of 2002.

2. Services

Cogniz offers subscription-based access to AI automation products and workflows, including but not limited to:

  • Pre-built and custom Make.com automation scenarios
  • AI agent integrations and knowledge base platforms
  • Business process automation tools
  • AI consultancy and custom platform development (on a project basis)

The specific features, deliverables, and limitations of each subscription tier or service are described on the relevant product page or order confirmation at the time of purchase. Cogniz reserves the right to modify, add, or discontinue features within a subscription tier with reasonable notice (see Section 15).

3. Orders and acceptance

An order is placed when you select a subscription plan or service and complete the checkout process, including payment via PayFast. A binding agreement between you and Cogniz is formed when:

  1. You submit your order and payment details, and
  2. We send you a written order confirmation by email

In accordance with Section 22 of the ECT Act, electronic transactions and contracts concluded electronically are valid and enforceable.

Cogniz reserves the right to decline or cancel any order for legitimate reasons, including suspected fraud or eligibility issues, in which case any charge will be reversed in full.

4. Pricing and billing

4.1 Prices

All prices are displayed in South African Rand (ZAR) and are inclusive of VAT (if applicable) unless stated otherwise. Cogniz reserves the right to change prices with a minimum of 30 days' written notice to active subscribers before the change takes effect at the next billing cycle.

4.2 Billing cycle

Subscriptions are billed in advance on either a monthly or annual basis, depending on the plan selected at checkout. The billing date is the date of the original purchase, recurring each month or year accordingly.

4.3 Failed payments

If a payment fails, we will notify you by email and may attempt to re-process the payment up to two additional times within 7 days. If payment remains unsuccessful after this period, your access to the subscription may be suspended until the outstanding amount is settled. Cogniz is not liable for any disruption arising from a failed payment.

4.4 Taxes

You are responsible for any applicable taxes, duties, or levies beyond those included in the stated price. If Cogniz is required to collect VAT or withholding tax, this will be reflected in your invoice.

5. Payment via PayFast

All payments are processed by PayFast (Pty) Ltd, a South African payment service provider. By making a payment, you agree to PayFast's Terms and Conditions.

  • Cogniz does not store, access, or process your payment card details at any point
  • PayFast may retain payment data in accordance with its own privacy policy and PCI-DSS obligations
  • All disputes relating solely to the payment transaction (e.g. card charges) should be directed in the first instance to PayFast or your bank

6. Auto-renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date in accordance with our Cancellation Policy. You will receive a reminder email at least 7 days before renewal on annual plans.

By subscribing, you authorise Cogniz to charge your payment method on file at the applicable renewal price. You may cancel auto-renewal at any time by following the process described in our Cancellation Policy.

7. Cancellation and refunds

Full details of your cancellation rights are set out in the Cancellation Policy, which forms part of this Agreement.

7.1 General

Subscriptions may be cancelled at any time. Access to the service continues until the end of the current paid billing period; no refund is issued for unused time in a monthly subscription unless required by law.

7.2 Annual subscriptions

For annual subscriptions cancelled after the 14-day cooling-off period (see Section 8), refunds are provided on a pro-rata basis for any complete remaining months, less any applicable setup or onboarding fees.

7.3 Non-refundable items

The following are non-refundable unless Cogniz is in material breach of this Agreement:

  • One-time setup or onboarding fees
  • Completed custom development or consultancy work
  • Any subscription month already elapsed

7.4 Cogniz-initiated termination

Cogniz may terminate your subscription immediately for a material breach of Section 10 (Acceptable Use), with no refund. For any other Cogniz-initiated termination, you will receive a pro-rata refund for the unused portion of your subscription.

8. Cooling-off period

In accordance with Section 16 of the ECT Act and the Consumer Protection Act, if you are a consumer purchasing a subscription online, you have the right to cancel your subscription within 14 days of the date of purchase without penalty and receive a full refund, provided that:

  • You have not materially consumed or used the service beyond initial access (e.g. you have not fully built out and used automation workflows delivered under the subscription), and
  • You notify us in writing within the 14-day period at legal@cogniz.online

This cooling-off right does not apply to bespoke, custom-developed services commenced at your express request within the cooling-off period.

9. Delivery of services

Subscription access is activated upon receipt of successful payment confirmation from PayFast. Cogniz will use reasonable commercial endeavours to:

  • Provide access to the subscription product within 24 hours of confirmed payment
  • Maintain service availability of at least 99% uptime per calendar month, excluding scheduled maintenance
  • Provide reasonable advance notice of planned maintenance windows

For custom development and consultancy services, delivery timelines will be agreed in writing prior to project commencement.

Cogniz is not liable for delays caused by circumstances outside our reasonable control, including telecommunications failures, third-party platform outages (e.g. Make.com), or force majeure events.

10. Acceptable use

You agree to use Cogniz's services only for lawful business purposes and in accordance with these Terms. You must not:

  • Use the services to transmit spam, malware, or harmful content
  • Attempt to gain unauthorised access to Cogniz's systems or those of third parties
  • Resell, sublicense, or otherwise transfer your subscription to any third party without Cogniz's prior written consent
  • Use the services in any manner that violates South African law or applicable international law
  • Reverse-engineer, decompile, or attempt to extract the source code of any proprietary automation workflows provided by Cogniz
  • Use the services to produce content that is defamatory, discriminatory, or otherwise unlawful

Cogniz reserves the right to suspend or terminate access immediately if we determine, in our reasonable discretion, that these obligations have been breached.

11. Intellectual property

11.1 Cogniz IP

All intellectual property rights in the Cogniz platform, pre-built automation workflows, branding, documentation, and proprietary methodologies remain the exclusive property of Cogniz. Your subscription grants you a limited, non-exclusive, non-transferable licence to use these during the term of your subscription solely for your internal business operations.

11.2 Customer data

You retain full ownership of any data, content, and materials you provide to or generate using Cogniz's services. You grant Cogniz a limited licence to process your data solely to the extent necessary to deliver the services.

11.3 Custom development

Unless explicitly agreed otherwise in a separate written agreement, intellectual property rights in custom-developed workflows, integrations, or platforms created for you vest in Cogniz upon creation. You are granted a perpetual, royalty-free licence to use such work for your own internal business purposes.

12. Limitation of liability

To the maximum extent permitted by South African law (including the CPA):

  • Cogniz's total aggregate liability to you under or in connection with this Agreement shall not exceed the total fees paid by you to Cogniz in the 12 months preceding the event giving rise to the claim
  • Cogniz shall not be liable for any indirect, consequential, incidental, special, or punitive losses, including loss of revenue, loss of profit, loss of data, or business interruption

Nothing in these Terms limits Cogniz's liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded under the CPA or POPIA.

If you are a consumer as defined in the CPA, your statutory rights under the CPA are not affected by these Terms.

13. Warranties and disclaimers

Cogniz warrants that it will provide the services with reasonable skill and care and materially in accordance with the description provided at the time of purchase.

Except as expressly stated, and to the fullest extent permitted by law, the services are provided "as is" without warranty of any kind, including (without limitation) warranties of merchantability, fitness for a particular purpose, or non-infringement.

Cogniz does not warrant that:

  • The services will be uninterrupted, error-free, or entirely secure
  • Automation outputs will be accurate or suitable for any specific business decision without independent review
  • Third-party platforms (e.g. Make.com, OpenAI) will remain available or maintain their current functionality

14. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from or in connection with this Agreement shall first be subject to good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to:

  • Mediation through an agreed mediator, or
  • The jurisdiction of the competent courts of South Africa

Nothing in this clause limits your rights to approach a relevant ombud, the National Consumer Commission, or any other competent authority under the CPA.

15. Amendments

Cogniz reserves the right to amend these Terms at any time. We will provide at least 30 days' advance written notice to active subscribers before material changes take effect. Changes will be posted on this page with an updated effective date.

If you do not accept the amended Terms, you may cancel your subscription before the effective date of the changes. Continued use of the services after the effective date constitutes acceptance of the amended Terms.
